The FBI IAA was incorporated as a nonprofit organization in the District of Columbia on July 1, 2009. The FBI IAA is led by a Board of Directors comprised of active duty FBI Intelligence Analysts who serve as officers of the association.

Description of Officer Duties
President and Co-President (one from an FBI field office and one from FBIHQ office).
· The President and Co-President are the Chief Executive Officers (CEOs) of the FBI IAA. They will supervise and control all of the business and affairs of the IAA, unless otherwise provided by the Board of Directors. They are responsible for the day to day functioning of the IAA.
· The CEOs preside at all FBI IAA meetings. They may sign all contracts and documents. They have general powers of supervision and will be the final arbiter of all differences between Officers of the Corporation.
· The CEOs are the primary interface between the IAA membership and FBI leadership, other executive branch stakeholders, and Congressional oversight. They represent the FBI at meetings with these various stakeholders.
· The President and Co-President are responsible for developing the overall vision and action plans for the IAA. They provide leadership to the enterprise and communicate effectively with IAA members to translate that vision into a reality.
Vice President:
· The Vice-President will be a member of the group of Officers of the IAA and will participate in the key decisions the IAA makes on a day to day basis.
· In the absence of the Presidents or in the event of their inability or refusal to act, the Vice-President shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President.
· The Vice-Presidents shall perform such other duties and have such other powers as the Presidents or the Board of Directors may from time to time prescribe.
Secretary
· The Secretary will be a member of the group of Officers of the IAA and will participate in the key decisions the IAA makes on a day to day basis.
· The Secretary will attend all meetings of the IAA and record all the proceedings of the meetings and summarize them for the membership via “minutes.”
· The Secretary will give notice of all meetings of the IAA members and special meetings of the Board or the Officers. The Secretary will have custody of the corporate seal of the IAA and have authority to affix the same to any instrument requiring it and when so affixed.
Treasurer
· The Treasurer will be a member of the group of Officers of the IAA and will participate in the key decisions the IAA makes on a day to day basis.
· The Treasurer will have the custody of the corporate funds and will keep full and accurate accounts of receipts and disbursements in books belonging to the IAA and will deposit all moneys and other valuable effects in the name and to the credit of the IAA.
· The Treasurer will disburse the funds of the Corporation as may be ordered by the Board of Directors, taking proper vouchers for such disbursements, and shall render to the President and the Board of Directors, at its regular meetings, or when the Board of Directors so requires, an account of all his transactions as Treasurer and of the financial condition of the Corporation.
